This agreement contains the terms and conditions that apply to your purchase of materials and services from Anchor-Seal, Inc. By accepting delivery of the products and services described on our invoice, Customer agrees to be bound by and accepts these terms and conditions. These terms and conditions are subject to change at any time without prior written notice by Anchor-Seal, Inc.

Other documents. These terms and conditions may not be altered or amended unless otherwise agreed to in a written agreement signed by both Customer and Anchor-Seal, Inc.

Governing Law. This agreement and any sales there under shall be governed by the laws of the State of Massachusetts, without regard to conflicts of laws rules.

Payment Terms; Orders; Quotes; Interest. Terms of payment are within Anchor Seal's sole discretion. Payment for the products and services will be made by credit card, wire transfer or some other prearranged method, unless credit terms have been established and agreed to by Anchor-Seal, Inc. Invoices are due and payable within the time period noted on the invoice starting with the date of the invoice. Orders are not binding upon Anchor-Seal, Inc. until accepted by us. Quotations are valid for the time period noted on them. The Customer agrees to pay interest on all past due invoices at the maximum rate allowed by law.

Shipping charges, Taxes. Shipping and handling charges when appropriate will be listed separately on the invoice. Sales and other applicable taxes will be listed separately on the invoice, unless Customer has supplied a valid tax exemption certificate, applicable to the product being purchased, prior to shipment of the order.

Title and Risk of Loss. Title to products passes from Anchor-Seal, Inc to Customer on shipment from our facility. The cost of insurance for items shipped by UPS valued at more than $100.00 will be added to the Customer's invoice. Product shipped by truck is insured against loss by the carrier.

Warranties. All products are warranted against manufacturing defects. The determination of whether a product is defective shall be at the sole discretion of Anchor-Seal, Inc. There are no warranties for services. Anchor-Seal, Inc. disclaims all other warranties, expressed or implied, including without limitation implied warranties of merchantability and fitness for a particular purpose. Anchor-Seal, Inc.'s only responsibility is limited to repair or replacement of the product. Product warranties take effect upon our receipt of full payment for the product to be warranted.

Returns. A Return Material Authorization number must be issued before we will accept the return of any product. Products returned without an R.M.A. will be refused and returned to the customer at his expense.

Product Availability. From time to time, due to changes in raw material specifications, or the unavailability of materials, conditions that are beyond our control, Anchor-Seal, Inc. may find it necessary to make changes in, or discontinue products. We will give the Customer as much notice as possible whenever this happens.

Limitation of Liability. Anchor-Seal, Inc. does not accept liability beyond the remedies set forth herein, including any liability for products not being available for use. Anchor-Seal, Inc. will not be liable for lost profits, loss of business or other consequential, special, indirect or punitive damages, or for any claim by any third party except as expressly provided herein. This limitation of liability applies to products, services and technical support provided by employees and representatives of Anchor-Seal, Inc. Customer agrees that any liability related to the purchase of materials and service be limited to an amount no greater than the aggregate dollar amount paid by the customer for the purchase of the products.
